These Terms and Conditions (“Terms”) govern your use of the ProvencioAI Solutions LLC website and the engagement of our consulting, automation development, and IT services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.
By using this website or engaging ProvencioAI Solutions LLC for any service, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.
ProvencioAI Solutions LLC provides AI automation consulting, IT consulting, workflow analysis, and related advisory services. All consulting engagements are governed by a written Statement of Work (SOW) or Service Agreement that defines the scope, timeline, deliverables, and compensation for each project. Verbal agreements are not binding. Services commence only upon receipt of a signed agreement and applicable deposit payment.
Custom AI development, automation system development, chatbot development, and workflow automation projects are complex technical engagements that require active client participation. Clients are responsible for providing accurate information about their business processes, technology systems, and requirements. ProvencioAI Solutions LLC is not responsible for project delays or failures caused by inaccurate or incomplete information provided by the client, failure to provide timely feedback or approvals, changes to client systems or platforms outside of the project scope, or third-party platform outages or API changes.
Each project is defined by a written Statement of Work. Requests for work outside the defined scope will be addressed through a formal change order process. Change orders must be approved in writing by both parties before additional work commences. ProvencioAI Solutions LLC reserves the right to pause project work pending approval of change orders that materially affect project scope, timeline, or compensation.
Payment terms are specified in each project agreement. Standard payment terms include a deposit of 25–50% of the total project value due upon signing, milestone payments as specified in the project agreement, and a final payment upon project completion and delivery. Monthly retainer services are billed in advance on the first of each month. All invoices are due within 15 days of issuance unless otherwise specified. Late payments are subject to a 1.5% monthly finance charge. ProvencioAI Solutions LLC reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.
Each project agreement specifies the number of included revision rounds. Revisions within scope are included in the project price. Revisions that expand scope, change fundamental requirements, or require significant rework are subject to additional fees per the change order process. Revision requests must be submitted in writing within 14 days of deliverable submission.
Upon receipt of full payment, clients receive a license to use all custom-developed automation workflows, chatbot configurations, prompt libraries, and integration configurations developed specifically for their engagement. ProvencioAI Solutions LLC retains ownership of all underlying methodologies, frameworks, templates, and general-purpose tools developed independently of any specific client engagement. Third-party platform licenses (Zapier, Make, HubSpot, etc.) remain subject to the terms of the respective platform providers.

ProvencioAI Solutions LLC's total liability for any claim arising from services rendered shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim. ProvencioAI Solutions LLC is not liable for indirect, incidental, consequential, special, or punitive damages. We are not liable for business losses resulting from automation system downtime, third-party platform changes, or circumstances outside our reasonable control.
Any dispute arising from these Terms or any service engagement shall first be addressed through good-faith negotiation between the parties. If negotiation fails to resolve the dispute within 30 days, the parties agree to submit the dispute to binding arbitration in Clark County, Nevada, administered by the American Arbitration Association under its Commercial Arbitration Rules.
Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed through the termination date. ProvencioAI Solutions LLC will deliver all completed work product upon receipt of final payment. Termination does not relieve either party of obligations incurred prior to termination.
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the courts of Clark County, Nevada.

Refund Policy

ProvencioAI Solutions LLC is committed to delivering high-quality AI automation and IT consulting services that produce measurable results. This Refund Policy describes our policies regarding deposits, project payments, monthly service fees, and refund eligibility for all service categories.
All project engagements require a deposit ranging from 25% to 50% of the total project value, as specified in the project agreement. Project deposits are non-refundable once work has commenced. The deposit covers initial discovery, strategy development, platform configuration, and project planning activities that begin immediately upon project kickoff. If a client cancels a project before work commences (within 3 business days of signing), the deposit will be refunded in full, less a 10% administrative fee.
Consulting hours that have been delivered are non-refundable. If a consulting session is cancelled by the client with less than 24 hours notice, the session fee may be forfeited. Consulting sessions cancelled with more than 24 hours notice will be rescheduled at no charge. If ProvencioAI Solutions LLC cancels a scheduled consulting session, a full credit will be applied to the client's account for future use.
For fixed-price automation development projects, payment milestones correspond to specific deliverables. Payments made for completed milestones are non-refundable. If a client wishes to cancel a project midstream, they are responsible for payment of all completed milestones and a pro-rated payment for work in progress at the time of cancellation. ProvencioAI Solutions LLC will provide all completed work product upon receipt of final payment for work performed.
Monthly retainer services are billed in advance. If a client cancels a monthly retainer with at least 15 days notice before the next billing date, no charge will be applied for the following month. If cancellation notice is received with less than 15 days before the next billing date, the client will be charged for one additional month. Partial month refunds are not provided for monthly retainer services.
For subscription-based automation management or AI assistant maintenance services, clients may cancel at any time with 15 days written notice. The subscription will remain active through the end of the paid period. No partial refunds are issued for unused subscription time. Annual subscription fees are non-refundable after 30 days from the subscription start date.
Once a project has been completed, all deliverables have been transferred to the client, and final payment has been received, the project is considered closed. Refunds are not available for completed projects. If you experience issues with a delivered automation system within 30 days of project completion, ProvencioAI Solutions LLC will address those issues at no additional charge, provided the issues are within the original project scope and are not caused by client-side changes to connected systems or platforms.
To be eligible for any refund consideration, the following conditions must be met: the refund request must be submitted in writing to michaelprovencio@provencioai.com; the request must be submitted within the applicable timeframe specified in this policy; the client must provide a detailed explanation of the reason for the refund request; and the client must allow ProvencioAI Solutions LLC a reasonable opportunity to address any service deficiencies before a refund is processed.
To cancel any service, submit a written cancellation request to michaelprovencio@provencioai.com with your company name, the service being cancelled, the desired cancellation date, and the reason for cancellation. We will confirm receipt of your cancellation request within 2 business days. Verbal cancellations are not accepted — all cancellations must be submitted in writing.
If you believe you have been billed incorrectly, contact us within 30 days of the invoice date at michaelprovencio@provencioai.com. We will review the billing dispute within 5 business days and provide a written response. If the dispute is resolved in your favor, a credit or refund will be processed within 10 business days.
We strongly encourage clients to contact us directly to resolve any billing concerns before initiating a chargeback through their payment provider. Initiating a chargeback without first contacting ProvencioAI Solutions LLC may result in suspension of services and additional administrative fees. We reserve the right to dispute any chargeback that we believe is not warranted based on the services delivered.
ProvencioAI Solutions LLC reserves the right to make exceptions to this Refund Policy on a case-by-case basis at its sole discretion. Exceptions do not constitute a waiver of this policy for future transactions. Any exception granted will be documented in writing.
